When a user files a report through Discern, a filing fee is typically required. These filing fees generally consist of two components:
Discern Processing Fee
The Discern processing fee is the amount charged by Discern for preparing and submitting the filing on your behalf. This fee covers the administrative work involved in ensuring the report is properly completed and delivered to the appropriate jurisdiction.
As a reminder, Discern's processing fees are below:
Change of Agent - complimentary
Annual/Biennial Report - complimentary
Certificates of Good Standing - $50
Formations - $99*
Foreign Registrations - $99*
Reinstatement/Revivals - $149
Dissolution/Withdrawals - $149
Amendment - $149
*Forming and foreign registering PLLCs, PCs, and PAs costs $249 plus state fees.
Jurisdiction Filing Fee
The jurisdiction filing fee represents the estimated cost of government-imposed fees and taxes associated with the filing. These fees are set by the applicable jurisdiction and vary based on local regulations and requirements. These fees are pass-through costs only.
Expedite/Add-On's Fee
Discern offers expedited filing options based on availability in the jurisdiction. These are showing under Filing Options allowing users to select the services that best meet your timeline or requirements.
Any expedited or add-on fees shown are pass-through fees charged directly by the jurisdiction and are not retained by Discern. An example of these fees is shown below:
Based on the current normal processing time, Discern will also show a recommended option typically chosen by most users.
Late Fee/Penalties
Any late fees and penalties are determined by the applicable jurisdiction and are not estimated by Discern. If a filing incurs a late fee or penalty, it will be clearly added to your invoice as a pass through cost. Please note that this information will not appear on the File and Authorize screen.
Fee Variability by Jurisdiction
Jurisdiction filing fees will vary based on many factors such as the jurisdiction, entity type and filing type. Discern will make any adjustments based on the true cost at the state when the filing is completed.
Reviewing and Paying Filing Fees
To review filing fees, click "File" any open task in your Discern dashboard:
Review the information listed in the filing, and scroll down to Approve & File, where you'll be presented with a clear, itemized breakdown of both the Discern processing fee and the jurisdiction filing fee:
Once you select “File and Authorize Payment,” a draft invoice is created. While these amounts are estimates, they are generally an accurate reflection of the likely fees imposed by the jurisdiction. Any additional fees (as mentioned above) are assessed after the filing is completed at the jurisdiction and appropriately added to your invoice.
Discern will automatically charge the default payment method once the invoice is finalized with all the correct fees.
