Requirements Needed to File a PC/PLLC - North Carolina

Written by Leah Nally

Application process:

  1. Select the application based on the entity type and whether it is domestic or foreign:

    • NCMB PC-01: Domestic Professional Corporation

    • NCMB PLLC-01: Domestic Professional Limited Liability Company

    • NCMB FOREIGN PC-01: Foreign Professional Corporation

    • NCMB FOREIGN PLLC-01: Foreign Professional Limited Liability Company

      • The applicable NCMB certificate form must be notarized.

      • The Professional Corporation/LLC Address Form should also be included with every application.

2. Submit the application via the NCMB

3. Email the completed supporting documents to: [email protected].

  • For Domestic PC/PLLC, the supporting document package should include:

    • Draft Articles of Incorporation or Organization

    • Notarized NCMB certificate form

    • Shareholder/member list, including applicable license types and license numbers

    • No-pending-discipline attestation

    • Professional Corporation/LLC Address Form

  • For Foreign PC/PLLC, the supporting document package should include:

    • An authenticated Certificate of Existence or equivalent document from the entity's home state

    • The applicable notarized North Carolina Secretary of State Certificate of Authority application

    • The applicable notarized NCMB foreign PC or PLLC form

4. Once the application and supporting documents are submitted, NCMB reviews the package to confirm that the applicable statutory requirements have been met. Once the document(s) has been obtained, upload it as a PDF to your Discern application under the Verification of License Document upload:

Please note: Do not let an NCMB approval package sit after the certificate is issued. For foreign PC/PLLC registrations, NCMB states that the Secretary of State filing must be completed within four months of the NCMB certificate's issuance date. Unfiled certificates expire after four months, and the applicant must reapply if the certificate expires.
