A state notice is an official communication sent by a state government agency to a business regarding its legal status, compliance requirements, or required actions.

What it typically covers

State notices can include:

  • Compliance reminders (e.g., annual reports, filings due)

  • Deficiency notices (missing or incorrect filings)

  • Tax-related notices (balances due, penalties, audits)

  • Administrative actions (e.g., suspension, revocation, or reinstatement of the business)

Why it matters

  • These notices often come with deadlines and may include fees or penalties

  • Ignoring them can lead to serious consequences, like losing good standing or even administrative dissolution

  • They’re considered official legal communications, so they should be reviewed and acted on promptly

Example: If an LLC forgets to file its annual report, the state might send a notice warning that the business will be marked non-compliant or suspended if the issue isn’t resolved.

Where do State Notices live in Discern?

All State Notice documents are organized in a dedicated section within Discern, making it easy to view and track any incoming notices.

Once in this section, you’ll find a set of filters that let you narrow results by State Notice type, as well as where and when the documents were received. You also have the ability to download any of the documents or view them in the platform:

As a reminder, all State Notices are sent to the designated contact under System Settings > Email Preferences.
